Introduction

These Terms and Conditions ("Terms") govern your engagement with She Said Yes®, the registered trademark of She Said Yes Ltd. ("we", "us", "our"). By inquiring with us, paying a deposit, or commissioning a piece, you ("Client", "you") acknowledge that you have read, understood, and agreed to these Terms in full.

If you do not agree with any part of these Terms, please do not proceed with an order.

About She Said Yes®

She Said Yes® is a Canadian bespoke engagement ring atelier specializing in direct to client custom design and manufacturing. Every piece is crafted entirely in house, from the first CAD design to the final polish.

For details on how we work with you from initial consultation through to delivery, please refer to our Our Processsection on the website. These Terms apply to every stage of that process. The initial consultation is complimentary.

1. Order Initiation Deposit

Once you are ready to proceed beyond the complimentary consultation, an Order Initiation Deposit is required to formally begin your order. This deposit marks the start of the designing stage, where our team commences CAD work and 4K render preparation, and secures sourcing of materials where applicable.

The Order Initiation Deposit may be up to 75% of the total order value. The exact amount is determined on a case by case basis and varies depending on factors such as:

  • Total order value.

  • Order type (natural diamonds, lab grown diamonds, or other materials).

  • Gemstone sourcing requirements.

  • Complexity of the design.

  • Specific materials involved.

This deposit:

  • Compensates us for the time, expertise, and creative work involved in initiating the order, producing your CAD design and 4K render, and securing materials.

  • Is applied toward the final price of your piece if you proceed to production and delivery.

  • Is fully non refundable under any circumstances, including but not limited to a change of mind, change in relationship status, financial circumstances, or decision not to proceed with production.

  • Is forfeited in full if you fail to respond, approve the CAD, or move the order forward within 30 days of the CAD being delivered, unless an extension is agreed in writing.

2. Revisions and Design Collaboration

We want you to love your piece. Revisions to the CAD design are included as part of our design process for as long as it takes to get the design exactly right. There is no fixed limit on the number of revisions, and we work collaboratively with you to refine every detail until you are fully satisfied.

We ask only that revisions remain within reasonable scope of the original brief, so the design process can flow naturally toward the piece you envisioned.

If, after CAD approval and order placement, you request changes, we will do our best to accommodate them. Whether changes can be made (and to what extent) depends entirely on the stage of production at the time of the request. Some changes may not be possible once certain stages have been completed, and others may involve additional fees, time, or material costs. We will always advise you transparently on what is feasible at the time of the request.

3. Pricing and Payment

All pricing is quoted in Canadian Dollars (CAD) unless otherwise specified, and is inclusive of all materials, craftsmanship, and applicable taxes where required.

Payment Structure:

  • Order Initiation Deposit: Up to 75% of the total order value, as determined per Section 1, payable to initiate the order and begin the designing stage.

  • Delivery Balance: The remaining balance is payable upon delivery of the finished piece.

All payments are processed through our secure third party payment provider. Until full payment is received, the piece remains the property of She Said Yes Ltd. We reserve the right to pause or cancel production for any account with overdue balances.

4. Delivery and Timelines

Estimated production timelines are provided in good faith and typically vary based on the complexity of the piece, material availability, and gemstone sourcing.

While we work diligently to meet agreed timelines, we are not liable for delays caused by:

  • Gemstone or material sourcing outside our control.

  • Courier delays or logistics disruptions.

  • Force majeure events (see Section 12).

  • Delays caused by the Client (late approvals, late payments, late provision of finger size or other required details).

Delivery within Canada is arranged through an insured courier. Risk of loss transfers to the Client upon successful delivery confirmation.

5. Inspection Upon Receipt

The Client is required to inspect the piece upon delivery. Any concerns regarding craftsmanship, materials, or manufacturing defects must be reported to us in writing within 14 days of delivery, accompanied by clear photographs.

This inspection window applies strictly to manufacturing defects and workmanship concerns. It does not apply where the piece has been subject to physical damage, impact, alteration, or wear after delivery. Once a piece shows signs of physical damage or external interference, the 14 day inspection window no longer applies, and any concerns will be assessed under our warranty terms (Section 7).

Claims made after the 14 day window will be assessed under our warranty terms in Section 7.

6. Final Sale

All bespoke pieces are considered final sale. Because each piece is custom designed and manufactured specifically for the Client, we do not offer returns, exchanges, or refunds once the piece has been produced.

This is in line with standard practice across the custom jewelry industry.

7. Warranty

She Said Yes® offers a limited lifetime warranty against manufacturing defects, including:

  • Faulty prong settings.

  • Defects in workmanship of the band or mounting.

  • Stones that become loose or shift in their setting due to a verified manufacturing or craftsmanship defect, provided the stone is still present in the piece at the time of inspection.

Stone loss is not covered.

Once a stone has been lost from the piece, the loss is not covered under this warranty regardless of the cause, including but not limited to physical damage, impact, accident, snagging, daily wear, external interference, or any other reason. Loss of stones is the responsibility of the Client and should be covered through independent jewelry insurance.

What we do cover under the warranty is tightening, resecuring, or repairing settings where a stone is still in place but has been compromised due to a craftsmanship defect. We strongly encourage Clients to bring the piece in for inspection as soon as any looseness is noticed, before the stone is lost.

The warranty does not cover:

  • Damage caused by impact, accident, misuse, or wear and tear.

  • Any lost stone, regardless of size or cause of loss.

  • Damage from exposure to chemicals, chlorine, harsh cleaning agents, or extreme conditions.

  • Modifications, repairs, or work performed by any jeweler other than She Said Yes®.

  • Loss or theft of the piece after delivery.

All warranty claims are subject to inspection by She Said Yes® to determine the cause of the issue. Our assessment of whether a defect is craftsmanship related or caused by external factors is final.

We strongly recommend obtaining independent jewelry insurance to protect your piece against loss, theft, and accidental damage.

8. Repairs and Servicing

We offer complimentary cleaning and inspection for the lifetime of the piece.

The Client is responsible for either:

  • Shipping the piece to us at the Client's own cost and arrangement (we recommend insured, trackable shipping), or

  • Visiting our store in person for servicing.

We do not arrange or cover the cost of inbound shipping for servicing, inspections, or warranty assessments.

Repairs not covered under warranty are quoted on a case by case basis.

9. Intellectual Property

All designs, CAD files, 4K renders, sketches, photography, videography, and content produced by She Said Yes® remain the exclusive intellectual property of She Said Yes Ltd. at all times.

  • The Client receives the physical piece, not the design rights.

  • CAD files, renders, and design assets may not be shared, forwarded, reproduced, or used to commission a similar piece from another manufacturer.

  • We reserve the right to photograph, video, and feature any completed piece on our website, social media, and marketing materials, unless the Client requests confidentiality in writing prior to delivery.

Any unauthorized use, replication, or sharing of our designs will be pursued through appropriate legal channels.

10. Client Obligations

By engaging with She Said Yes®, the Client agrees to:

  • Provide accurate finger size, design preferences, and contact information.

  • Respond promptly to design approvals, payment requests, and communications.

  • Conduct all interactions with our team in a respectful and professional manner.

  • Not request the replication of another designer's or brand's copyrighted design.

  • Honour the agreed payment schedule.

Failure to meet these obligations may result in delays, additional fees, or cancellation of the order at our discretion, with no refund of amounts paid.

11. Cancellation

Cancellation by the Client:

  • Before the designing stage begins: Any Order Initiation Deposit paid is non refundable, but no further amounts will be charged.

  • After the designing stage has begun but before production: The Order Initiation Deposit and any additional design work already performed are non refundable.

  • After production has commenced: No refunds will be issued. The Client remains responsible for the full balance of the order.

Cancellation by She Said Yes®:

We reserve the right to cancel an order at any stage if:

  • The Client breaches these Terms.

  • We suspect fraud, misrepresentation, or unverifiable payment.

  • The Client engages in conduct we deem inappropriate, abusive, or unprofessional.

  • The requested design infringes on third party intellectual property.

  • For any reason we believe is not aligned with the values and integrity of our brand.

In such cases, refunds (if any) will be issued at our sole discretion, less any work already performed.

12. Force Majeure

We are not liable for any failure or delay in performance caused by events outside our reasonable control, including but not limited to natural disasters, pandemics, government actions, war, civil unrest, courier disruptions, supplier failures, gemstone sourcing delays, power or internet outages, or cyber incidents.

13. Limitation of Liability

To the fullest extent permitted by Canadian law:

  • Our total liability for any claim arising from your engagement with us shall not exceed the total amount paid by the Client for the specific piece in question.

  • We are not liable for indirect, incidental, consequential, or punitive damages, including but not limited to emotional distress, loss of relationships, missed proposals, or sentimental value claims.

  • We are not liable for any loss, damage, or theft of the piece after risk has transferred to the Client upon delivery.

14. Confidentiality

We treat all client communications, design requests, and personal details with the utmost discretion. We will not disclose your identity or piece details publicly without your consent, except where required for marketing purposes as described in Section 9.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Ontario, Canada. Any disputes arising from or relating to these Terms shall be resolved exclusively in the courts of Toronto, Ontario, Canada.

16. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, services, or applicable laws. The most current version will always be posted on our website with a revised effective date. Continued engagement with us after changes are posted constitutes acceptance of the revised Terms.
